Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NTimes LLC ("NTimes," "we," "us," or "our") governing your access to and use of the Healzy mobile application, voice assistant service, and related services (collectively, the "Service"). By downloading, installing, accessing, or using the Service, you affirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them in their entirety. If you do not agree to these Terms, you must immediately cease using the Service and uninstall the application. NTimes reserves the right to modify these Terms at any time. Continued use of the Service following notice of changes constitutes acceptance of the revised Terms.

Healzy is a voice and text-based health information application that uses artificial intelligence to receive user-described symptoms and provide general health information in response. Users may interact with the Service by voice, by typing text, or by uploading health documents. The Service also provides an in-app document scanner that uses your device camera to capture health documents for processing. All health documents - whether uploaded or camera-scanned - are processed by AI and stored in de-identified form. Healzy is designed for informational and educational purposes only. The Service is available to users located in the United States only. Use of the Service from outside the United States is not authorized and may violate applicable local laws.

THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALL INFORMATION PROVIDED BY THE SERVICE IS FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. You expressly acknowledge and agree that: • The Service is not a licensed medical provider, and no physician-patient relationship is created by your use of the Service. • AI-generated responses may contain errors, omissions, hallucinations, or outdated information. • You should not rely on any response from the Service for medical decisions. • The Service does not have access to your complete medical history, current medications, allergies, or other clinically relevant information unless explicitly provided by you in a session. • Any health information provided by the Service must be independently verified with a licensed healthcare professional before being acted upon. NTimes expressly disclaims any liability arising from your reliance on information provided by the Service. EMERGENCY NOTICE: If you believe you are experiencing a medical emergency, including but not limited to chest pain, difficulty breathing, signs of stroke, or severe injury, stop using this application immediately and call 911 or your local emergency services.

Healzy uses large language model (LLM) artificial intelligence technology provided by third-party processors. By using the Service, you acknowledge and accept that: • AI systems can produce incorrect, misleading, or fabricated outputs, commonly referred to as hallucinations. • The AI does not possess medical licensing, clinical judgment, or the ability to physically examine you. • AI responses are generated based on statistical patterns and are not individualized medical recommendations. • The performance and accuracy of the AI may vary and is not guaranteed. • You assume all risk associated with reliance on AI-generated health information.

To use the Service, you must: (a) be at least 18 years of age; (b) be a resident of the United States; (c) provide accurate and complete registration information; and (d) maintain the security of your account credentials. You are responsible for all activity that occurs under your account. You must notify NTimes immediately at [email protected] if you suspect unauthorized access to your account. NTimes reserves the right to refuse registration, suspend, or terminate accounts at its sole discretion, including for violation of these Terms.

You agree not to use the Service to: • Seek emergency medical care or as a substitute for emergency services. • Obtain controlled substances, prescriptions, or engage in any fraudulent healthcare activity. • Upload documents belonging to third parties without their express consent. • Attempt to reverse-engineer, circumvent, or exploit the Service's AI systems. • Violate any applicable federal, state, or local law or regulation. • Harass, threaten, or harm any individual. • Transmit malicious code, viruses, or any harmful software. • Attempt to gain unauthorized access to NTimes systems or other users' data.

All content, features, functionality, software, algorithms, models, and materials available through the Service are owned by NTimes LLC or its licensors and are protected by United States intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for personal, non-commercial purposes in accordance with these Terms. You retain ownership of any health information or documents you upload to the Service. By uploading such materials, you grant NTimes a limited, non-exclusive license to process, de-identify, and store such materials as described in the Privacy Policy.

The Service integrates with third-party technology providers to deliver its functionality, including cloud infrastructure, AI processing, and real-time voice communication services. These third parties are subject to their own terms of service and privacy policies. NTimes is not responsible for the practices or content of third-party services. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NTIMES EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (C) WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION PROVIDED BY THE SERVICE; AND (D) WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NTIMES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, MEDICAL COSTS, LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, NTIMES'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO NTIMES FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00). Some jurisdictions do not allow limitations on implied warranties or exclusions of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless NTimes LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any claim that your use of the Service caused harm to a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be submitted to non-binding mediation. If mediation is unsuccessful, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted in New Jersey. You waive any right to participate in class action lawsuits or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

NTimes may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by submitting a deletion request through the in-app settings or by contacting [email protected]. Upon termination, your right to use the Service ceases immediately. Sections 3, 4, 9, 10, 11, 12, and 15 survive termination.

The Service is not directed at or intended for use by individuals under the age of 18. NTimes does not knowingly collect personal information from minors. If you believe a minor has provided personal information to the Service, please contact us at [email protected] and we will take prompt steps to delete such information.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and NTimes with respect to the Service and supersede all prior agreements. Failure by NTimes to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. NTimes may assign its rights under these Terms without restriction; you may not assign your rights without NTimes's prior written consent.
